General Terms and Conditions – BELLU Academy

1. Organiser

The organiser of the programmes is BELLU d.o.o., Ljubljanska cesta 39, 1292 Ig, Slovenia, company registration number 9351477000, VAT identification number SI29750636 (hereinafter referred to as “BELLU”). Contact: info@bellu.eu, website bellu.eu.

These Terms and Conditions govern registration, booking, payment, participation, cancellation, delivery and the use of materials in connection with all BELLU Academy programmes: courses, training programmes, masterclasses, practical workshops, seminars, individual training sessions, online programmes, digital content and related services.

Fundamental booking rule: payment for a reservation means that a place with limited availability has been allocated; BELLU does not offer voluntary refunds of reservation payments for reasons attributable to the participant, except where statutory exceptions or expressly agreed written exceptions apply.

2. Consumers and Business Participants

A business participant (B2B) is a legal entity, sole proprietor or natural person who actually orders a programme for the purposes of their professional or commercial activities. A consumer (B2C) is a natural person who concludes a contract for purposes outside such activities. Status is determined by the actual purpose of concluding the contract, rather than solely by the name of the payer or the issuance of an invoice.

Specifically defined stricter rules concerning binding registrations, cancellation fees, debt collection and limitations of liability apply to B2B participants. For B2C participants, the provisions of these Terms and Conditions apply only to the extent permitted by applicable mandatory law. Before confirming a B2B registration, BELLU may request invoicing information and an explanation of the business purpose.

3. Registration and Contract Formation

Registration is possible through the online store, a registration form, email or an individually issued quotation confirmed in writing. Before an order is submitted, BELLU provides essential information about the programme, its price, date and location, the limited number of places, payment conditions, reservation payment and the rules governing cancellation and non-attendance.

The contract is concluded when BELLU accepts or confirms the registration, or when the online checkout process clearly indicates that the order has been accepted. Upon conclusion of the contract, a binding obligation arises for the customer. Upon receipt of the required reservation payment or the full programme fee, BELLU definitively reserves the specific place and removes it from general availability, unless otherwise specified for the programme.

A reserved place is not merely a non-binding enquiry. Subsequent changes of plans, loss of interest, unavailability, absence of a model, work commitments or any other reason attributable to the customer do not invalidate the contract and do not, in themselves, create a right to a refund. Before accepting a registration, BELLU may reject it due to fully booked places, failure to meet requirements, outstanding obligations or justified professional, safety or organisational reasons.

4. Place Reservation and Payment

The number of places is limited. BELLU may require advance payment of the full price or a separately specified reservation payment, the amount and due date of which are indicated in the offer or purchasing process. The reservation payment is included in the total programme fee and does not constitute an additional service or a payment outside the price of the training.

Upon receiving the reservation payment, BELLU confirms and allocates the participant's place and reserves the date, instructor, premises, equipment, materials and organisational capacity for that purpose. The reserved place is then no longer available to other applicants. For a business customer, the payment is binding and generally non-refundable following voluntary cancellation; its settlement is governed by Section 9. Section 8 and any applicable mandatory legislation apply to other cases.

BELLU does not refund a reservation payment merely because the participant changes their mind, cannot attend the programme, arrives late, fails to provide a model or does not use the reserved place. An unused reservation does not mean that BELLU failed to provide the capacity reservation service. This provision does not affect cases in which a refund is required by law or due to BELLU's liability.

BELLU may treat a reservation as provisional until payment is received. Upon expiry of the payment deadline, BELLU may release the place without automatically waiving all claims arising from an already concluded contract. BELLU may lawfully withhold the commencement of participation, access to materials or issuance of a certificate until overdue obligations are settled. In the case of overdue B2B receivables, BELLU may claim statutory default interest and lawful recovery costs.

5. Consumer's Statutory Right of Withdrawal

The non-refundable nature of the reservation payment applies to the maximum extent permitted by law. BELLU does not provide an additional voluntary right to cancel a confirmed and paid reservation free of charge. However, where the 14-day right of withdrawal under the Slovenian Consumer Protection Act (ZVPot-1) applies to a consumer contract concluded at a distance or off-premises, those mandatory provisions apply and cannot be excluded by payment of a reservation.

BELLU applies statutory exceptions to the right of withdrawal where the requirements for the particular service are satisfied, including a fully performed service with prior consent and appropriately supplied digital content. The mere existence of a reserved place, limited capacity, paid registration or a specified date for professional training does not in itself constitute a statutory exception. Withdrawal must be communicated through an unequivocal statement sent to info@bellu.eu or to BELLU's registered office; deadlines and refunds are determined by law.

For purchases made directly on business premises and for genuine business customers (B2B), the special 14-day consumer right of withdrawal generally does not apply. In these cases, BELLU's binding cancellation terms apply.

6. Commencement of Services Before Expiry of the Withdrawal Period

Where a training programme or other paid service begins at the customer's express request before the expiry of any applicable 14-day withdrawal period, BELLU obtains and documents the consents and acknowledgements required by ZVPot-1 before commencement.

Following complete performance of the service, BELLU does not refund the price due to withdrawal without giving a reason where the statutory requirements for the loss of that right are met. If a consumer validly withdraws after performance has begun but before the service has been fully performed, BELLU claims payment for the proportionate part of the services already provided to the extent permitted by law. BELLU may postpone early commencement if the required declarations have not been received.

7. Digital Content and Digital Services

Access to recorded courses, electronic materials, videos, distance-learning programmes and other digital content is provided exclusively to the customer, within the agreed scope and for the agreed period. The purchaser does not acquire ownership or other intellectual property rights in the content. Transferring or sharing access is prohibited.

Once the transfer or supply of digital content not provided on a tangible medium has lawfully begun, BELLU generally does not refund the price due to withdrawal without giving a reason, provided that, before commencement, express consent to early supply, acknowledgement of the loss of the right of withdrawal and the required confirmation on a durable medium have been obtained or provided, as applicable. Digital services provided over a specified period are subject to their own statutory limitations and conditions.

Failure to use lawfully provided access or to watch available recordings does not, in itself, constitute grounds for a credit note or refund. In the event of proven misuse of access, BELLU may take action in accordance with Sections 18 and 22.

8. Cancellation After Expiry of the Statutory Right of Withdrawal

A confirmed and paid BELLU Academy reservation is final; BELLU does not refund the reservation payment following voluntary cancellation. This applies to personal and organisational reasons attributable to the participant, changes of mind, non-attendance, late arrival, unused access and other circumstances on their part, unless a refund is required by mandatory law or separately agreed in writing.

After expiry of any applicable statutory withdrawal period, or where that right does not exist, the participant has no automatic entitlement to a refund, credit note, substitution of another person or alternative date. BELLU may, at its discretion, offer rescheduling or a credit note instead of a refund; this option is not an entitlement of the participant and becomes effective only upon BELLU's written confirmation.

For B2B customers, the cancellation obligation is determined under Section 9, and the reservation payment is credited against the amount already paid. For consumers, BELLU enforces non-refundability only where it is lawful in the specific circumstances and does not constitute an unfair contractual term. Claims arising from non-performance or improper performance attributable to BELLU are assessed separately.

9. Cancellation by a Business Participant – B2B

9.1. A binding B2B reservation blocks a place, an instructor, premises and other capacities. A business customer cannot unilaterally demand cancellation free of charge. Under these Terms and Conditions, BELLU agrees in advance to contractual withdrawal by a business customer only upon payment of the cancellation charge specified below. The cancellation charge is agreed as compensation for releasing the reservation, not as a contractual penalty for late payment.

9.2. Unless a separate written agreement for the programme provides otherwise, the cancellation charge shall be:

  • More than 14 calendar days before commencement: 30% of the total programme price.

  • From 8 to 14 calendar days before commencement, inclusive: 50% of the total programme price.

  • 7 calendar days or fewer before commencement: 100% of the total programme price.

  • Non-attendance without written cancellation: 100% of the total programme price.

9.3. Cancellation becomes effective only when BELLU receives it in writing at info@bellu.eu. The decisive date is the date of receipt before the beginning of the first day of the programme. Telephone notifications, failure to respond, failure to attend and unilateral refusal to pay do not constitute timely written cancellation.

9.4. Any reservation payment already made is credited against the agreed cancellation charge and, in the event of voluntary B2B cancellation, is retained up to the amount of the cancellation charge due. If the funds received are insufficient, BELLU claims the difference; if they exceed the applicable cancellation charge, BELLU refunds the excess. The business customer must pay the outstanding difference within the deadline specified on the invoice or payment notice.

9.5. If a B2B customer fails to attend a programme without cancelling, despite BELLU having provided the agreed opportunity to participate, the customer is required to pay the full contractual price. Resale of the released place does not automatically create a right to a refund of a cancellation charge already paid unless the law or a written agreement provides otherwise. BELLU may not obtain double compensation for the same obligation.

9.6. For specially commissioned, individual, closed-group or customised B2B programmes, BELLU may stipulate 100% advance payment and separately agreed stricter cancellation terms before conclusion of the contract. Where validly incorporated into the contract, these take precedence over Section 9.2. Payment and a cancellation charge are separate concepts; the agreed settlement calculation applies, rather than the automatic retention of any overpayment.

9.7. These provisions do not apply where BELLU breaches the contract in a manner that, under applicable law, entitles the customer to withdraw or to a different financial settlement.

10. Transfer of Registration

A confirmed reservation is linked to a specific programme, date and registered participant. The participant has no right to unilaterally transfer the reservation to another person, date or programme. A transfer request does not constitute cancellation and does not suspend the due date for payment.

BELLU may exceptionally approve a transfer in writing, subject to the availability of places, the new participant meeting professional requirements and the settlement of outstanding obligations. Until written confirmation is issued, the original contract and cancellation consequences remain in effect. BELLU is not obliged to permit an additional transfer free of charge following an approved transfer.

11. Cancellation or Modification of a Programme by BELLU

For objectively justified staffing, organisational, safety, professional or technical reasons, BELLU may change the instructor, schedule, classroom or location, or reschedule the programme, provided that this does not materially diminish the agreed service. Minor changes do not automatically entitle the participant to a refund of the reservation payment.

BELLU may cancel a programme due to insufficient registrations or another substantial reason and propose an alternative date or comparable delivery. If BELLU fails to provide the agreed service and does not ensure appropriate substitute performance, it refunds payments for the service not provided in accordance with the contract and the law. To the extent permitted by law, BELLU does not cover independently booked travel, accommodation or other related expenses for which it has not assumed responsibility.

12. Late Arrival by the Participant

The participant must arrive at the programme on time and prepared. Late arrival for reasons attributable to the participant is not considered cancellation entitling them to a refund, nor does it justify a price reduction, free repetition, extension of training or an alternative date.

For safety and professional reasons, BELLU may restrict late participants from entering a practical session or joining until the next appropriate point in the programme. If late arrival makes participation pointless or unsafe, BELLU may refuse participation on that date. Payment remains due to the extent permitted by law.

13. Non-Attendance – No-Show

Where a participant has been allocated a place but fails to attend without properly notifying BELLU of cancellation, this is considered an unused reservation, not a failure by BELLU to perform. BELLU is not automatically obliged to refund the reservation payment or programme fee, issue a credit note, provide free repetition or transfer the reservation to another date.

For B2B customers, non-attendance without written cancellation results in an obligation to pay 100% of the agreed price under Section 9. For B2C consumers, BELLU retains amounts only within the limits of applicable contractual and mandatory legal rules. BELLU may grant exceptional assistance or offer an alternative date at its own written commercial discretion.

14. Code of Conduct and Safety

Participants must comply with the instructor's directions, hygiene, professional, safety and fire safety requirements and the rights of others present. Dangerous conduct, harassment, disruption of teaching, unauthorised recording, unauthorised use of trademarks, attempts to remove materials or equipment, and actions that endanger the reputation or safety of the programme are prohibited.

In the event of a serious or repeated violation, following proportionate action where possible, BELLU may warn the participant, temporarily remove them from activities or terminate their participation. Where there is an immediate danger, no prior warning is necessary. Exclusion resulting from a violation attributable to the participant does not, in itself, create a right to a refund, and BELLU may claim compensation for lawfully recoverable damage.

Where a participant is justifiably excluded for a serious breach, they are responsible for the consequences of their conduct and may not claim reimbursement of amounts that BELLU is legally and contractually entitled to retain solely on the basis of that exclusion.

15. Prior Knowledge and Participation Requirements

Where a programme requires professional qualifications, a valid licence for particular procedures, a model, personal equipment, special health or hygiene preparation or other requirements, the participant must meet them no later than the start of the programme. BELLU may request appropriate evidence and restrict unsafe practical activities where the requirements have not been met.

The participant is responsible for the accuracy of information provided about their prior knowledge. BELLU does not guarantee the same learning outcome for a person who does not meet the requirements specified in advance.

Failure to meet previously published requirements for which the participant is responsible does not mean that BELLU failed to provide the reserved capacity.

16. Models

If the programme requires a model to be provided by the participant, the participant is responsible for ensuring the model's timely attendance, suitability, appropriate prior information and consents. BELLU may reject a model for professional, health, hygiene or safety reasons. BELLU is not obliged to provide a replacement model unless separately agreed.

If a model is not provided or is unsuitable, BELLU may limit the practical part of the programme; an additional individual session or free repetition is not automatically provided. These rules apply to the extent that BELLU has otherwise made performance available in accordance with the contract and law.

The non-attendance or unsuitability of a model that the participant was required to provide does not, in itself, confer a right to a refund of the reservation payment.

17. Materials and Equipment

Equipment, devices, tools and demonstration materials remain the property of BELLU or another entitled owner unless their transfer has been agreed in writing. Materials expressly identified as included in the price for personal use become the participant's property under the agreed conditions. Participants may not remove, lend or dismantle training equipment without permission.

The participant is liable for demonstrable damage caused intentionally or through negligent or improper handling, to the extent provided by applicable law. BELLU may require documentation of the damage and reimbursement of reasonably incurred repair or replacement costs, without imposing an automatic flat-rate charge.

18. Training Materials, Trade Secrets and Intellectual Property

All materials, teaching methods, presentations, photographs, videos, texts, templates, scripts, digital content, trademarks and original BELLU Academy methodologies are protected under applicable intellectual property rights. The participant receives only a limited, personal, non-transferable, non-exclusive right to use the materials for their own training and professional work, to the extent expressly permitted.

Without BELLU's prior written permission, the resale of materials, publication of recordings, systematic reproduction or distribution of content, sharing of access credentials, removal of rights notices, use of content to create a competing paid course and disclosure of confidential non-public training materials to third parties are prohibited. This prohibition does not affect uses permitted by law and does not restrict general knowledge and skills legitimately acquired by the participant.

BELLU may demand the immediate cessation of unauthorised use, removal of publications, termination of infringements, return or deletion of unlawfully distributed copies where permitted, damages and other statutory remedies. BELLU may require the infringement to cease and be demonstrably remedied as a condition of continued access.

19. Photography and Recording

Without BELLU's prior written permission, participants may not make audio or visual recordings of lectures, practical demonstrations, restricted training content, other participants or models. BELLU may define the scope, purpose, duration and permitted use of an authorisation and revoke it in the event of a justified violation of its conditions.

BELLU may document individual programmes on an appropriate legal basis and following the provision of required information about personal data processing. Where consent is required for a particular type of recording or publication, it is obtained separately. Participation alone does not constitute automatic consent to the public promotional publication of recordings in which an individual can be identified.

20. Certificates and Confirmations

BELLU may make the issuance of a certificate, qualification document or confirmation of attendance conditional upon attendance, completed assignments, practical demonstrations, knowledge assessments, compliance with safety requirements and settlement of overdue obligations, provided the conditions are published in advance.

A certificate confirms only the clearly specified scope of the completed programme. It does not constitute a state licence, officially recognised qualification, employment or authorisation to perform a regulated activity unless expressly and truthfully stated otherwise for the particular programme. BELLU may refuse to issue a certificate if the participant fails to meet the criteria published in advance.

Failure to issue a certificate due to the participant's failure to meet previously published criteria or requirements does not, in itself, create a right to a refund of the training fee.

21. No Guarantee of Business Results

BELLU undertakes to deliver the agreed programme within the contractually specified scope and according to reasonably demanding professional standards, but does not guarantee any individual business outcome. BELLU does not guarantee revenue, profit, customer numbers, employment, career advancement, market success, obtaining a licence or successful application of knowledge by every individual.

Decisions concerning the subsequent application of methods, product selection, treatment or care of clients, pricing and business organisation are made independently by the participant within the limits of their qualifications and applicable professional standards. Examples from practice or demonstrated achievements do not constitute an individual guarantee of success.

Dissatisfaction with personal business results following training that was lawfully and properly delivered does not, in itself, constitute grounds for a refund.

22. Online Training

Usernames, access links, activation codes and access to online programmes are personal and non-transferable. Simultaneous use of a single account by multiple persons, sharing passwords and large-scale automated extraction of content are prohibited. BELLU may implement reasonable technical access protection and maintain necessary records of activations, access or violations in accordance with personal data protection rules.

In the event of a proven violation, BELLU may restrict or temporarily suspend the affected access, request that the participant remedy the violation and exercise other statutory remedies. Access is time-limited where its duration was clearly specified before purchase. Expiry of a previously specified access period does not, in itself, constitute defective performance.

23. Technical Requirements

The participant must ensure access to a compatible device, up-to-date software, a stable internet connection, their own email address and basic technical knowledge where these requirements were specified in advance. Problems arising from the participant's device, local settings or connection do not automatically constitute a breach of contract by BELLU.

BELLU may reasonably and temporarily restrict access for maintenance, information security or troubleshooting purposes while endeavouring to minimise disruption. BELLU may not unilaterally restrict essential features or the agreed duration of a digital service in breach of applicable legislation.

24. Liability

The participant is responsible for applying the knowledge acquired, following manufacturers' instructions, complying with professional standards, maintaining their legally required qualifications and their conduct towards third parties after training has ended. BELLU is not liable for the consequences of participants' independent decisions, incorrect application of methods, failure to observe warnings or procedures for which participants are not qualified, where the damage does not result from a breach by BELLU.

For B2B, to the maximum extent permitted by law, BELLU's contractual liability for damages is limited to direct and proven damage, up to the amount actually paid for the particular programme. Indirect damage, lost profits, lost business opportunities and consequential commercial effects are excluded to the extent permitted by law. The limitation does not apply to intentional misconduct, gross negligence, damage for which liability cannot be limited or other circumstances in which the limitation is legally invalid.

25. Force Majeure

Force majeure means unforeseeable or unavoidable circumstances beyond BELLU's reasonable control that prevent performance or materially hinder delivery on the agreed date, including natural disasters, epidemic-related restrictions, widespread infrastructure disruptions, government prohibitions, major security incidents or comparable circumstances. BELLU shall not be liable for delays or impossibility of performance for which it is not legally responsible.

BELLU shall notify participants of significant circumstances within a reasonable time and propose a feasible solution: rescheduling, comparable alternative delivery or appropriate financial settlement in accordance with the law and contract. This section does not give BELLU an unconditional right to retain the entire payment in the event of non-performance.

26. Personal Data

Personal data is processed on the legal grounds and for the purposes specified in BELLU's Privacy Policy and applicable legislation. Separate consents for promotional recording and electronic marketing are obtained where required. To perform the contract, BELLU may process necessary information about the customer, participant, payments, attendance, certificate issuance and use of digital access.

27. Complaints and Claims

All questions concerning programme delivery, complaints and requests for refunds must be sent to info@bellu.eu. The customer should provide their name, contact details, order or invoice number, date and name of the programme, and reasons accompanied by supporting evidence where available. BELLU may request information necessary to assess the claim.

Receipt of a claim or return of materials does not constitute acknowledgement of entitlement to a refund. BELLU may reject unfounded claims relating to personal cancellation, late arrival or non-attendance. Where a refund is required by law or contract, BELLU shall fulfil the obligation within the prescribed period. Statutory claims may not be rejected solely because the suggested form was not used.

28. Business Participants – Additional Protection of Receivables and Limitations

BELLU may pursue payment of cancellation charges, reservation payments or other overdue B2B obligations by issuing an invoice, sending a written reminder, charging statutory default interest and seeking legally recoverable collection costs. The customer may not unilaterally treat refusal to attend or failure to use a reserved place as terminating overdue obligations.

An unjustified dispute raised with a payment provider, reversal of a bank transfer or request for a chargeback or refund does not extinguish a debt arising from a validly concluded B2B contract. BELLU may temporarily restrict further services, digital access or new bookings where overdue obligations remain unpaid, to the extent permitted by law. BELLU may separately claim demonstrable damage arising from intellectual property infringements, damage to equipment and other independent breaches; the same damage may not be compensated twice.

29. Governing Law and Jurisdiction

The contractual relationship shall be governed by the law of the Republic of Slovenia. For B2B disputes, unless mandatory provisions provide otherwise, the court in Ljubljana having subject-matter jurisdiction shall have territorial jurisdiction. For consumer contracts, jurisdiction shall be determined in accordance with applicable mandatory rules, and the choice of law shall not reduce the protection provided by mandatory legislation.

30. Final Provisions

Special terms for an individual programme that were available to the customer before conclusion of the contract and validly incorporated into it shall take precedence over these Terms and Conditions in matters concerning that particular programme. Individual terms may not reduce rights granted by mandatory law.

BELLU may amend these Terms and Conditions for future registrations. Contracts already concluded shall remain subject to the terms incorporated into the contract at the time of its conclusion, unless the law requires otherwise or the parties validly agree to an amendment. If any provision is void or unenforceable, the remaining provisions shall remain valid to the extent permitted by law.
